Abstract: Arbitration of corporate disputes is a “province” (area) distinct from general arbitration. As the arbitral clause is part of a company’s by-laws, its regulation has the same characteristics of all other clauses of the by-laws. Object of the arbitration may be all kinds of controversies concerning the company and/or its shareolders, directors and auditors. Subjects who may be called or intervene as parties of an arbitration in company’s matters are all the persons who are involved in a commercial company’s activity. Arbitration clauses in public companies are not allowed.
